FRIENDS APP — TERMS OF SERVICE

These Terms of Service (“Terms”) form a legally binding agreement between you (“you” or “User”) and Pacific Interactive LLC (“Pacific,” “we,” “us,” or “our”) governing your access to and use of (a) the Friends mobile application, (b) pacificimmersive.com and any sub-domains, and (c) all related features and services (collectively, the “Service”). By downloading, installing, or using any part of the Service you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy (incorporated here by reference). If you do not agree, do not use the Service.

1 ELIGIBILITY & ACCOUNT REGISTRATION
1.1 Age. You must be at least 13 years old—or the minimum digital-consent age where you live—to create an account. If you are under 18, a parent or guardian must accept these Terms on your behalf.
1.2 Accurate Information. You agree to provide true, current, and complete information during registration and keep it updated.
1.3 Credentials & Security. You are solely responsible for safeguarding your password and for everything that happens under your account. Notify us immediately at cameron@pacific.dev of any unauthorised use.
1.4 Suspension / Refusal. We may refuse registration, reclaim usernames, or suspend/terminate accounts at our sole discretion and without liability.

2 PRIVACY
Your use of the Service is governed by our Privacy Policy. By using the Service you consent to the collection, use, and sharing of information as described there—including (where enabled) precise location, calendar data, and in-app communications.

3 USER CONDUCT
You agree not to:
• violate any law, regulation, or third-party right;
• harass, stalk, threaten, or harm another person;
• upload or share unlawful, defamatory, obscene, hateful, or otherwise objectionable content;
• infringe any copyright, trademark, trade secret, privacy, or publicity right;
• reverse-engineer, scrape, or otherwise interfere with the Service;
• introduce viruses or malicious code;
• send spam or pyramid schemes;
• impersonate any person or entity.

4 USER CONTENT
4.1 Definition. “User Content” means any data, text, images, audio, video, or other material you provide through the Service.
4.2 Ownership. You retain all rights to your User Content.
4.3 Licence to Pacific. You grant Pacific a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, reproduce, adapt, display, and distribute your User Content solely to operate, develop, and improve the Service. This licence ends when you delete your content or close your account, except where retention is required by law or for back-ups.
4.4 Screening. We may—but are not obliged to—monitor or remove content that violates these Terms or poses risk.
4.5 Your Warranty. You warrant that you have all rights needed to grant the licence above and that your content complies with law.

5 SOFTWARE LICENCE
Subject to your compliance with these Terms, Pacific grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and run one copy of the Friends app on a device you own or control for personal, non-commercial use. All other rights are reserved.

6 THIRD-PARTY SERVICES & LINKS
The Service may link to or integrate third-party services (e.g., Apple/Google Calendar, Google AdMob). Pacific is not responsible for those services, their content, or their terms. Use them at your own risk.

7 PAID FEATURES (IF OFFERED)
7.1 Purchases & Billing. Pricing and payment terms will be disclosed before purchase; payments are processed by the App Store or Google Play under their rules.
7.2 No Refunds. All sales are final except where required by law or store policy.
7.3 Taxes. You are responsible for any applicable taxes.

8 PACIFIC’S INTELLECTUAL PROPERTY
Except for User Content, the Service—including all software, design, text, graphics, and logos—is owned by Pacific or its licensors and protected by intellectual-property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without prior written consent.

9 FEEDBACK
Any ideas, suggestions, or improvements you submit (“Feedback”) are voluntary. You grant Pacific an irrevocable, worldwide, royalty-free right to use and exploit Feedback without obligation to you.

10 TERMINATION
10.1 By You. You may delete your account and stop using the Service at any time.
10.2 By Pacific. We may suspend or terminate your access, with or without notice, if you violate these Terms, pose risk, or if we discontinue the Service.
10.3 Survival. Sections 4.3, 7, 8, 9, 11–15 and any provisions that by their nature should survive termination will survive.

11 DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACIFIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not guarantee that the Service will be uninterrupted, secure, error-free, or accurate. Use it at your own risk.

12 LIMITATION OF LIABILITY
12.1 Cap on Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, PACIFIC’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) US $100 OR (ii) THE TOTAL AMOUNT YOU PAID PACIFIC, IF ANY, FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
12.2 Excluded Damages. PACIFIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
12.3 Scope. These limits apply to all theories of liability, even if any remedy fails its essential purpose.
12.4 Exceptions. Nothing limits liability for gross negligence, intentional misconduct, fraud, or any liability that cannot lawfully be excluded.

13 INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Pacific, its affiliates, and their officers, employees, and agents from any claims or expenses arising out of (a) your User Content, (b) your breach of these Terms, or (c) your misuse of the Service.

14 GOVERNING LAW & DISPUTE RESOLUTION
14.1 Law. These Terms are governed by California law (USA), excluding conflict-of-law rules.
14.2 Arbitration & Class-Action Waiver. Any dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules in San Francisco, California, and conducted in English. You and Pacific waive any right to a jury trial or to participate in a class action. Either party may seek injunctive relief in court to protect intellectual-property or confidential information.

15 INTERNATIONAL USE & EXPORT CONTROLS
You are responsible for complying with local laws and U.S. export regulations.

16 CHANGES TO THESE TERMS
We may update these Terms from time to time. Material changes will be announced at least 30 days in advance via in-app notice or email. Continued use after the effective date means you accept the revised Terms.

17 MISCELLANEOUS
These Terms and the Privacy Policy are the entire agreement between you and Pacific. If any part is invalid, the rest remains enforceable. Pacific’s failure to enforce any right is not a waiver. You may not assign these Terms; Pacific may assign them without restriction. Headings are for convenience only.
